SERVICE

The LOI is on the table. Everyone has an opinion.
Nobody has run the numbers you'd bet the company on.

Structured analysis and decision frameworks for the choices that keep CEOs, CFOs, and boards up at night — M&A, capital structure, investor negotiations, audit committee dynamics. Thinking work that arrives as a tight memo and a working session.

THE PROBLEM

You don't need a report. You need a thinking partner.

An acquisition model that tells different stories depending on the assumptions. A board pushing expansion with unclear financial implications. An investor proposing terms you're not sure serve the company. These are judgment problems, not analysis problems — and another 100-page deliverable won't solve them.

×

The acquisition model says yes or no depending on which assumptions you feed it — and nobody in the room can tell you which assumptions deserve to be believed.

×

The board wants expansion, management wants caution, and the financial case for either side is built on numbers no one has stress-tested for second-order consequences.

×

A key investor wants a rights issue, a bridge, a restructure — and you're negotiating terms without anyone in your corner who has sat across from those terms before.

×

Every advisor you call wants to sell you a project. What you need is someone to pressure-test the thinking, find the blind spots, and walk the consequences with you — then let the decision stay yours.

WHAT WE DO

Decision frameworks, not decisions.

This is the most senior service Unfolding Values offers, and it isn't execution work. It's thinking work: structured analysis and decision support for the most consequential choices you face. The output is never "do X" — it's your options, the trade-offs, what the data says, and the second-order implications of each path.

M&A evaluation. Financial modeling and diligence support that separates the deal story from the deal economics — before the letter of intent locks you in.

Capital structure analysis. Rights issues, bridges, convertibles, dilution math, term-by-term review — what each structure actually costs the company over its full life, including the years after signing.

Scenario analysis for strategic initiatives. Expansion, pivot, divestiture, exit — the financial implications of each path, stress-tested against the assumptions most likely to break.

Investor negotiation support. Preparation, counter-structures, and an operator in your corner who understands what the other side of the table is optimizing for.

Board and audit committee coaching. Materials, preparation, and the dynamics — what will be challenged, how to present it, where to hold and where to concede. Useful for first-time public-company CFOs and for boards getting independent financial analysis for the first time.

Standing access. When something breaks between board meetings, you call. A direct line to the founder — not a scheduling funnel, not an associate taking notes.

WHY US

Counsel from an operator, not a deck factory.

The founder is a US CPA and an MBA from IIM Ahmedabad — an operator with ten years inside US-listed public companies, in the filing seat. The counsel comes from someone who has signed the filings and sat in the audit-committee meetings, not from a career advisor reconstructing how it used to feel. Zero restatements, zero late filings, zero audit qualifications.

How we work: every engagement passes the 4-Gate model — document intake, source reconciliation, independent cross-check, deliverable review — before anything reaches your auditor or your board. See the model.

QUESTIONS

Advisory questions, answered straight.

How is this different from your Fractional CFO service?
Fractional CFO is execution leadership — running board reporting, capital strategy, and treasury inside your finance function on a part-time basis. Advisory is thinking work for specific decisions: no operational seat, no standing deliverables, just structured analysis when a consequential choice is on the table. If you need someone to run the function, start at Fractional CFO. If you need someone to stress-test a decision, you're in the right place. Plenty of clients move between the two — the scoping conversation sorts out which one you actually need. Either way, Unfolding Values is not an audit firm and provides no attest services — we work on your side of the table.
Will you just tell us what to do?
No — and that's deliberate. The output is a decision framework: a map of the paths open to you, what each one costs and risks, the evidence behind each, and where each one leads two steps further out. You're the one who lives with the choice and answers to the board for it, so the judgment stays with you. What you get is the confidence that the choice was stress-tested by someone with operational experience in similar situations — including the blind spots you couldn't see from inside.
How are engagements structured?
Two shapes: per-decision, scoped around a single consequential choice — an acquisition, a financing, a restructure — or standing counsel, with regular access plus crisis availability between sessions. Either way the work starts with the full context of the decision: stakeholders, constraints, alternatives, and consequences. Fees are fixed against the scoped outcome. You see the full scope, deliverables, and fee in writing before any work begins. And a hard cap of two new engagements per quarter means every client works directly with the founder.
You hold a full-time finance seat. What happens when your 10-Q week is my 10-Q week?
Fair question — it's the first one we'd ask. Engagements are capped at two new per quarter, and your filing calendar is mapped against existing commitments at scoping. Filing deadlines are knowable months ahead; if the peaks collide, we build the buffer into the timeline or we don't take the engagement.
